DEFINITIONS

This Agreement is made by and between Didier Faucher / Carbone33.com (otherwise listed herein as Didier Faucher), and the purchaser (otherwise listed herein as You or Your), who makes a purchase for the right to use the templates, designs, graphics and other material downloaded from the website BestMinisiteTemplates.com.

The term "BestMinisiteTemplates.com Templates and Graphics Package", otherwise designed herein as BMST, means the following: the HTML and Photoshop Templates, the designs integrated into the $7 Secrets Script HTML Templates, the designs integrated into the Rapid Action Profits Script, the Web Elements, both for the front-end product and the one-time-offer product, or a part of these material, that You download after You purchase the BMST on the website BestMinisiteTemplates.com.

AGREEMENT ACCEPTANCE

This Agreement governs Your use of BMST. These materials are the sole property of Didier Faucher.

Use of BMST is provided by Didier Faucher to You on condition that You accept the terms and conditions of this Agreement. By using BMST, You agree to the terms and conditions of this Agreement.

If You do not agree to accept and abide by this Agreement, You should not purchase or use BMST. If You already purchased it, You should ask for a refund, and You should destroy all BMST material in Your possession. Any refund request should be either submitted by email to didier [AT] carbone33.com or sent through Didier Faucher's web-based help desk at http://totalmarketer.com/support/?id=1333

In any event where a term of this agreement fails to be valid or enforceable, the remainder of the agreement will remain intact.

AUTHORIZED USE & MODIFICATIONS

You are granted a worldwide, non-exclusive, non-transferable, revocable, one-person or one-business (depending Your status) License to utilize BMST on an unlimited number of websites THAT BELONG TO YOU, either for personal or business purpose.

You are authorized to make necessary modifications to BMST to fit Your purposes, but You cannot claim ownership of the material produced.

UNAUTHORIZED USE

You may not offer BMST or any part of them, modified or unmodified, for redistribution or resale of any kind either for free or for payment, nor rebrand them or claim copyright ownership without prior written consent from Didier Faucher.

You have neither resell rights, master resell rights, private label rights, master private label rights to BMST or any part of them, and other material downloaded from BestMinisiteTemplates.com website.

Any use of BMST in websites intended for resale, including but not limited to templates, ready-made websites, turnkey websites, whether online or offline, is prohibited without prior written consent from Didier Faucher.

You are not allowed to use BMST in a fashion that is considered by Didier Faucher as, or under applicable law is considered obscene, immoral, infringing, illegal, or defamatory.

USE BY WEB DESIGNERS AND WEB DESIGN COMPANIES IN CLIENTS' MATERIAL

Use in clients' websites is allowed.

The License You purchase gives You the right to use BMST material on an unlimited number of websites that You own and for a maximum of 15 websites for Your clients.

If You need to create more than 15 websites for Your clients, You must purchase additional License(s). Each additional License gives You the right to create 15 more websites for Your clients.

The material You produce or create for a client, using any modified or unmodified BMST material can be sold only once, and only to this particular client.

Your clients cannot claim ownership of the modified or unmodified BMST material they purchase from You.

ASSIGNABILITY & TRANSFER OF OWNERSHIP

You may not sub-license, assign, or transfer any BMST material or any part of them to any person or entity without prior written consent from Didier Faucher.

RESPONSIBILITY

Didier Faucher will not be responsible for any loss, damage, injury or data corruption of any kind incurred by You, Your business, Your clients or Your clients' business, whether directly or indirectly arising from the use of BMST and other material downloaded from BestMinisiteTemplates.com website and any Carbone33.com-owned website, or other losses arising out of the use of or inability to use them.

GUARANTEE OF INCOME

No guarantees of income are made. You assume full responsibility for use of BMST and other material downloaded from BestMinisiteTemplates.com and any Carbone33.com-owned website.

Didier Faucher assumes no responsibility or liability whatsoever on Your behalf, in any case.

LEGAL EXPERTISE

BMST is sold with the understanding that Didier Faucher is not engaged in rendering legal, accounting, or other professional services. If legal or expert assistance is required, You should seek the services of a competent professional.

INFORMATION DISCLOSURE

You may not disclose the download link of BMST nor give access to the download page to any other party or individual, at any time.

LICENSE VALIDITY

This User License is valid for an unlimited period of time, and is effective until changed.

Didier Faucher reserves the right to change any of these terms at any time without prior notice.

GOVERNING LAW AND JURISDICTION

This Agreement is governed under the laws of FRANCE.

Any dispute arising out of, under or in connection with this Agreement, including, but not limited to, its validity, interpretation, performance and breach, either by You or Your clients, shall be submitted to arbitration in Libourne, France (Court of Libourne / Tribunal de Libourne. 22, rue Thiers. 33500 Libourne. France)

If Didier Faucher is obligated to go to court to enforce any of its rights, or to collect any fees, You agree to reimburse Didier Faucher for his legal fees, costs and disbursements if he is successful.

OFFENDERS

Offenders of any of the terms and conditions of this Agreement will have their License terminated immediately, and legal action may be taken. Offenders should destroy all modified or unmodified BMST material in their possession and in the possession of their clients.

Offenders will be prosecuted to the full extend of law.

ACKNOWLEDGEMENT

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND DIDIER FAUCHER, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND DIDIER FAUCHER RELATING TO THE SUBJECT OF THIS AGREEMENT.
